In order to serve a legally compliant breach of a contract demand letter, the demanding party must write a letter that includes key details about the original agreement such as its creation date, the title of agreement, and the specific sections that were violated.

Any and all parts of the contract in question to the breach should be included in the demand letter. If there are multiple sections they should all be included, as the demand letter is only pertinent to the contract pieces that were breached. List the contract portions that were violated in order of most egregious violations.

A detailed description of the breach of contract should be documented. Common issues identified within a Breach of Contract Demand Letter are; parties who have failed to pay or provide goods as promised, the party now stating they will no longer provide the obligation previously agreed upon or the other party has made it unfeasible for an individual to perform the agreed-upon task.

Monster Energy put together a promotional YouTube video that used a remix (the "Megamix") of Beastie Boys songs created by DJ Z-Trip (a/k/a Zach Sciacca). The Beastie Boys were surprised to learn about the video because they hadn't authorized Monster Energy to use their music, so they sued Monster Energy for copyright infringement. Caught in flagrante delicto, Monster Energy countered that Z-Trip had authorized them to use the Megamix--including, by implication, the remixed Beastie Boys songs--so Monster Energy cross-sued Z-Trip for breach of contract for falsely implying he could authorize use of the Beastie Boy songs, basically trying to obligate Z-Trip to pay any copyright damages Monster Energy may owe to the Beastie Boys.

Conversation #1: Monster Energy says it asked Z-Trip in person if he had any music they could include in their promotional video. Z-Trip allegedly replied that he had made a remix available on his website and it could be downloaded for free. "Downloaded for free" is an ambiguous statement: anyone could download the mix without payment, but that doesn't mean it was "free" of copyright restrictions on republication.

Independent contractors are also known as consultants, freelancers, or 1099 contractors. (This last name is derived from the IRS Form 1099 which the customer fills out, sending one copy to the contractor and the other to the IRS.)

Independent Contractor Agreements are beneficial for contractors, freelancers, and consultants who want a written agreement with their clients. Likewise, customers, clients, or businesses, who wish to outline the service arrangement in a written contract, will also find them very useful.

Clients can include terms to prevent a contractor from divulging information about their business in a contractor agreement. A contractor will breach the contract if they don't comply with its terms. There are also terms about non-solicitation and non-competition in the event conflicts of interest or risk of competition arise. 2ff7e9595c
